Introduction
Tuthill Corporation (Tuthill) and SSW, Inc. (SSW) appeal from an order of the San Francisco Superior Court denying their petitions to compel arbitration of claims filed against them by the Regents of the University of California (Regents). The trial court denied the petitions under Code of Civil Procedure section 1281.2, subdivision (c)1 (hereafter section 1281.2(c)), which allows the court to stay arbitration pending resolution of related litigations where there is a possibility of conflicting rulings and contradictory judgments. The court ruled that the contracting parties had agreed that their arbitration agreement would be governed and enforced by California law (including section 1281.2(c)) and that the Federal Arbitration Act (9 U.S.C.
