MEMORANDUM OPINION Alliance Solutions ("Alliance"),1 plaintiff, is a Maryland business entity that identifies new clients for software vendors. Quest Software, Inc. ("Quest"), defendant, is a Delaware corporation with its principal place of business in California. It develops and markets software for enterprise systems management. Alliance filed suit against Quest (ECF 2), alleging that the two corporations had a contract, by which Alliance undertook to identify new business contacts for Quest, and that Quest breached the contract by unilaterally terminating the contract without paying Alliance the sums it was owed. Alliance attached to its Complaint a copy of the alleged contract, dated October 26, 2006. See Ex.A to Complaint ("2006 Contract") (ECF 2-1).2 Civil Action No. ELH-11-2115

In its original Complaint (ECF 2), from which the caption of the case was derived, Alliance identified itself as "Alliance Solutions, Inc." However, in its Amended Complaint (ECF 20), Alliance identified itself as "Alliance Solutions, LLC." Similarly, A lliance is identified as "Alliance Solutions, LLC" in all of the documents attached as exhibits to both complaints. In the first paragraphs of both complaints, Alliance described itself as "a Maryland corporation engaged in the business of identifying business contacts for software vendors with end users who have a need for such services." However, the suffix "LLC" designates a limited liability company, not a corporation. In the Amended Complaint, plaintiff stated that an individual named Harold Youra is "the sole owner and President of Alliance." ECF 20
