Defendants' separate motions to dismiss Plaintiffs' Consolidated Amended Class Action Complaint under Fed.R.Civ.P. 12(b)(6). Also pending is Plaintiffs' motion to strike certain exhibits filed by Defendant PricewaterhouseCoopers LLP ("PwC"). The

issues have been fully briefed and the court now rules, no hearing being deemed necessary. Local Rule 105.6. For the

following reasons, Plaintiffs' motion to strike will be granted in part and denied in part, and the motions to dismiss will be granted. I. Background A. Factual Background

The following facts are alleged in Plaintiffs' Consolidated Amended Class Action Complaint ("the complaint"), filed on

behalf of all persons who purchased or otherwise acquired shares

of Acterna Corporation ("Acterna" or "the company") common stock between August 14, 2001, and October 29, 2002 ("the Class

Period").1

The defendants in this action were five of Acterna's

most senior officers leading up to and during the Class Period ("the individual Defendants"), Clayton, Dubilier & Rice, Inc. ("CD&R"), Acterna's largest shareholder, outside and
