denying in part Appellee's proof of claim BE, and the same hereby IS, REVERSED in that Appellants are liable to Appellee only for fees owed before or on October 28, 1997; 2. The remainder of the bankruptcy court's order BE, and

the same hereby IS, AFFIRMED; 3. This case BE, and the same hereby IS, REMANDED to the

bankruptcy court for further proceedings consistent with the accompanying Memorandum Opinion; 4. The clerk take all necessary steps to effectuate the

remand promptly; and 5. The Clerk will transmit copies of the Memorandum Opinion and this Order to counsel for the parties and to the United States Bankruptcy Court, and CLOSE this case.
